A web agency that sets up Model Relay for a client guarantees that it is authorised to do so.
2. The service
Model Relay answers visitors’ questions on your website with an AI assistant, based on the pages of your website you have not excluded, and refers visitors to your booking page, contact details or message form. Model Relay does not book appointments itself. We may improve and change the service, and we’ll announce material changes in advance where reasonably possible.
3. Your account
You provide correct details and keep your password secret. You are responsible for everything that happens through your account. If you notice misuse, tell us straight away.
4. Your content and responsibility
You remain the owner of your website and of the information you import. You grant us the right to process that content to provide the service. You are responsible for ensuring that:
- you have the right to import and use the pages;
- you review sources and exclude pages that are not correct or current;
- the pages you do not exclude contain no unlawful content;
- you inform your visitors on your website or in your privacy policy about the use of the chat, as far as the law requires.
5. AI answers
The assistant uses AI models and can be wrong. It is meant to inform and refer, not to give medical, legal or other professional advice. You decide which sources it may use and what visitors see when it doesn’t know the answer. The assistant shows visitors that they are talking to an AI assistant. You may not hide this or present the assistant as a human.
6. Acceptable use
You don’t use Model Relay to spread unlawful, misleading or harmful content, to overload or circumvent the service, to test security without our permission, or to resell the service without our permission. We may restrict or suspend access in case of serious or repeated misuse, after a warning where possible.
7. Prices, credit and payment
Connecting your website, checking your pages and reviewing stored sources is free. You pay for indexing new or changed text and for AI answers with prepaid credits bought in euros through Mollie. New and changed pages are indexed automatically, except pages you excluded, at a text charge per started 10,000 characters. Each version of a page is charged only once. Unchanged, excluded and failed pages are not charged. Current rates are shown in the workspace and on the pricing page; the rate at the time of indexing applies. Each AI answer costs 2 credits. Automatic checks default to weekly and can be set to monthly or quarterly per website. Indexing and AI answers share the same credit balance and monthly website limit. When credits or the limit run out, the assistant shows your configured contact options.
Credits are added only after Mollie has confirmed the payment. Automatic top-up happens only with your explicit consent and you can switch it off at any time. Prices exclude VAT. Belgian VAT applies, except for businesses established in another EU member state whose VAT number is confirmed by the EU VIES register: for them VAT is reverse charged (Art. 196 of Directive 2006/112/EC). You must enter correct billing details before buying credits. For Belgian business billing details with a VAT number, we request a Peppol e-invoice by default and also send the invoice by email.
8. Termination
You can close your account at any time. We can also end the agreement with reasonable notice, or immediately in case of a serious breach. After the agreement ends, we delete your data or return it, except what we must keep by law. For unused credit, contact us; we’ll work out an appropriate settlement with you.
9. Data protection
For your visitors’ data you are the controller and we are the processor. The data processing agreement is part of these terms. For our own processing of your account data the privacy policy applies.
You allow us to use question counts and cleaned unanswered questions from your visitors to improve Model Relay, including testing and training AI models, as described in the data processing agreement. We do not keep or use full conversations.
10. Intellectual property
Model Relay, the software, the design and the documentation remain our property or that of our licensors. You receive a non-exclusive, non-transferable right to use the service for as long as the agreement lasts. You may use the WordPress plugin and the embed code only to show Model Relay on your own website or your client’s.
11. Availability
We aim for a reliable service but cannot guarantee uninterrupted availability. Maintenance, failures at our suppliers or circumstances beyond our control may interrupt the service temporarily. During an interruption the chat shows your contact options where possible.
12. Liability
We are liable for damage that is the direct result of our fault, within the limits of this article. We are not liable for indirect damage, such as lost profit, loss of customers or reputational damage, nor for damage caused by incorrect information that was based on your sources. Our total liability is limited to the amount you paid us in the twelve months before the event that caused the damage. These limits do not apply in case of intent, fraud or gross negligence, nor to liability that by law cannot be limited or excluded.
13. Force majeure
Neither party is liable for failing to perform an obligation because of force majeure, such as a general internet outage, a cyberattack beyond our reasonable control or a government measure.
14. Changes
We may change these terms. For material changes we’ll notify you at least thirty days in advance in the workspace or by email. If you disagree, you can close your account before the effective date. If you continue to use the service, the new version applies.
15. Governing law and competent court
Belgian law applies. In a dispute we first look for a solution together. If that fails, the Belgian courts have jurisdiction, in particular the enterprise court of the judicial district where our registered office is located, unless the law prescribes another court.
